NOTICE OF SPECIAL GENERAL MEETING

CONSTITUTION

The Board of the Building Officials Institute of New Zealand (BOINZ) is inviting all financial voting category members of the Institute to a Special General Meeting on 16th February at 11:30am virtually via Zoom.

The meeting has been called to consider and recommend adoption of the Institute's proposed new constitution draft as required under the Incorporated Societies Act 2022. 

Background

Over a number of years, the Institute has progressed initiatives to update the constitution to ensure a fit-for-purpose governing document.
 

This work was started and postponed until the enactment of the revised Incorporated Societies Act 2022, when the Constitution Committee and Board felt confident of delivering a constitution that met both the new statute and requirements of a modern-day Incorporated Society and Charitable organisation to members.

Following a member consultation roadshow, analysis, incorporation of member feedback, and a subsequent legal review, the Institute's Board thanks members for their input and recommends to members this new constitution. 

Ratification of the new proposed constitution draft will additionally ensure the Institute meets requirements under the Incorporated Societies Act 2022 to have reviewed its constitution, and accordingly, then reregister under this new Act. 

The meeting will be held virtually via ZOOM and a meeting link to be sent separately to all financial voting category members in due course.

REMIT 

That the 2015 version of the constitution of the Building Officials Institute of New Zealand (BOINZ) be replaced with the new 2024 constitution version, reflecting changes to comply with the Incorporated Societies Act 2022, and having included recommendations from the Constitution Committee, member feedback, board, and legal review. The purpose of this change is to improve the efficiency and effectiveness of BOINZ operations, ensuring a fit-for-purpose governing document for the benefit of the Institute and its members.
